1. Introduction

These Terms of Service („Terms”) govern the use of services provided by MMOHandel LLC („Company,” „we,” „us”). By accessing or using our services, you („Customer,” „Client”) agree to these Terms in full. If you do not agree, you must refrain from using our services.

MMOHandel LLC operates under U.S. jurisdiction and does not have a physical presence, tax obligations, or a fixed establishment within the European Union. The services provided are strictly under a licensing/subscription model, and not as digital product sales.

2. Scope of Services

We offer the following services:

Sale of Gaming Tokens – Digital tokens that can be used in online gaming environments.
Website Development – Custom website development and related services such as SEO, graphic design, and hosting.
Platform Access – Access to gaming platforms and associated subscription-based services.

Our services are delivered through a non-transferable, non-exclusive, time-limited license. These services are not considered as digital product sales, and no product ownership is transferred to the customer. Our offerings include manual interaction and technical configuration, ensuring compliance with U.S. regulations.

3. Payment Terms

3.1 Payment Method
Payments for our services are required upfront unless otherwise agreed upon. All payments are processed via third-party gateways, including but not limited to PayPal, Stripe, and Revolut.

3.2 Invoicing
Invoices issued by MMOHandel LLC will describe the service as „Service License” or „Platform Access Subscription.” All invoices will include a breakdown of the agreed-upon services and applicable charges.

3.3 No VAT Applied
As our services are provided from the United States and we do not have a fixed establishment or taxable presence within the European Union, VAT is not applied to our services. Our services are provided on a licensing/subscription basis, exempt from EU VAT OSS regulations.

4. Hosting and License Terms

4.1 Hosting Services
We provide hosting for websites under a 12-month license agreement. After 12 months, customers have the option to:

Extend the hosting and license agreement with us.
Transfer the website to their own hosting provider.

4.2 Website Ownership
While the customer will receive a non-transferable license to use the website, the intellectual property, including the source code and backend systems, remains the property of MMOHandel LLC unless otherwise agreed upon.

Until full transfer of hosting, the website remains under our technical control.

5. Intellectual Property and Ownership

5.1 Ownership of Content
The customer is granted a limited right to use the website and related services but does not own the underlying source code or intellectual property.

5.2 Prohibited Use
The duplication, resale, modification, or distribution of any proprietary content or services without prior consent from MMOHandel LLC is strictly prohibited.

5.3 Licensing of Content
The intellectual property rights of all services, including gaming tokens, websites, graphics, and other digital goods, remain with MMOHandel LLC, and usage rights are granted to the customer through the license agreement.

6. Cancellations & Refund Policy

6.1 No Refunds
Due to the custom nature of our services, we generally do not offer refunds once the service has been delivered or the contract has been initiated.

6.2 Subscription Cancellations
Customers may cancel their subscription at any time, but no refund will be issued for any unused time that has already been paid.

6.3 Chargebacks and Payment Disputes
If a chargeback or payment dispute is filed by the customer, services will be suspended immediately, and access to our services may be revoked until the issue is resolved.

7. Liability Disclaimer

7.1 Limitations of Liability
MMOHandel LLC is not liable for:

Business loss, revenue loss, or indirect damages arising from the use or inability to use our services.
Third-party service disruptions that affect hosted websites.
Website downtime due to technical issues beyond our control, including hosting provider failures or internet connectivity issues.

7.2 „As Is” Services
All services are provided „as is” without warranties, express or implied, unless explicitly stated otherwise in the service agreement.

8. Compliance & Acceptable Use

8.1 Prohibited Content
Customers agree not to use our services to host illegal, offensive, defamatory, or copyrighted content that infringes upon the rights of third parties.

8.2 Service Suspension
MMOHandel LLC reserves the right to suspend or terminate services if a customer violates this Acceptable Use Policy.

8.3 Compliance with Local Laws
The customer is responsible for ensuring that their use of our services complies with the local laws and regulations of their jurisdiction.

9. Privacy & Data Processing

9.1 Data Protection
By using our services, customers consent to the collection, storage, and processing of their personal data as outlined in our Privacy Policy.

9.2 Data Processing
All personal data will be processed in compliance with U.S. laws. MMOHandel LLC does not store or process personal data in the European Union.

9.3 Data Security
We implement robust data protection measures, including encryption, secure data storage, and restricted access to ensure your data remains safe.

10. Governing Law & Dispute Resolution

10.1 Applicable Law
These Terms are governed by and construed in accordance with the laws of the United States.

10.2 Dispute Resolution
Any disputes arising from the use of our services will be resolved through arbitration in the United States. Customers from the EU waive the right to file claims under EU consumer protection laws.

10.3 Arbitration
All disputes shall be handled through binding arbitration, with the arbitration proceedings held in the United States, in accordance with U.S. arbitration laws.

11. Modifications to These Terms

MMOHandel LLC reserves the right to update or modify these Terms at any time. Any changes will be posted on our website, and the updated Terms will become effective upon publication.
